Welcome to Click Catalyst

Welcome to Click Catalyst (a sole-proprietorship micro-enterprise, Udyam Reg. No. UDYAM-GJ-09-0055606). These Terms & Conditions ("Terms") govern your use of our website and services, and form a binding agreement between you ("Client") and Click Catalyst ("Company", "we", "us"). By accessing our services (including the one-time ₹999 First Website development or any Advanced Marketing subscription), you agree to comply with these Terms. If you do not agree, please discontinue use.

1. Services and Deliverables

We offer web development and data-driven digital marketing retainers ("Services") as described on our website. For the First Website (one-time ₹999 static site), we will design and deliver a basic website as specified in the project scope. For Advanced Marketing Tiers (Essentials, Growth, Thrive, Customize), we provide ongoing SEO, analytics, content, social media, and related marketing services on a monthly or annual subscription. Service details (features, timelines, fees) are set out in your Order Confirmation. All deliverables (websites, reports, content, etc.) will be provided to you upon completion of the agreed milestones and full payment.

2. Client Obligations

You agree to provide accurate information and materials needed for our Services (such as logos, content, access to accounts). You are responsible for securing any rights or licenses for third-party content you provide. We may rely on subcontractors or third-party platforms (e.g. hosting providers, analytics tools) to deliver Services. Nonetheless, we remain responsible for meeting our obligations. You must respond to information or asset requests within 5 business days; delays may push delivery dates accordingly

3. Fees, Payments and Taxes

All fees are in INR. One-time charges (like the ₹999 First Website) are due upfront. Recurring fees (monthly/annual marketing retainers) are billed as agreed (e.g. on the 1st of each month). By authorizing payment, you permit us —or our payment processor—to bill your chosen method. You must pay on time; late payments may incur interest or suspension of Services.

When GST registration is completed, invoices will show GSTIN and tax breakup; prices displayed are inclusive of all applicable charges until then.

4. Refunds and Cancellations

Our refund and cancellation policies depend on the Service (see Refund Policy below). In summary: for the First Website, you have a 7-day refund window (before work begins). For marketing retainers or milestone-based projects (SEO, campaigns), fees are generally non-refundable once services commence. Any cancellation should be submitted in writing.

5. Intellectual Property Rights

Upon full payment, you receive all rights to the final deliverables we create for you (e.g. your website design, copy). We grant you a perpetual, worldwide license to use these deliverables. However, Click Catalyst retains ownership of any underlying software, tools, methodologies, or code libraries used to develop those deliverables. If you provide content (text, images, trademarks), you represent you have the necessary rights. We may showcase work we perform for you in our portfolio, unless you instruct otherwise.

6. Confidentiality

We will not disclose your confidential business information or personal data to others, except as required to perform the Services or by law. Similarly, you should keep confidential any of our proprietary information (like analytics methods or pricing details) shared in the course of our engagement.

7. Warranties Disclaimer

Except as expressly provided, our Services are provided "as is". We do not warrant that the Services will be uninterrupted or error-free. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement) to the fullest extent allowed by law.

8. Limitation of Liability

To the maximum extent permitted by law, Click Catalyst's total liability arising from or related to these Terms or the Services will not exceed the fees you paid us in the 12 months preceding the claim. In no event will we be liable for indirect, special, incidental, punitive, or consequential damages (including loss of profit or data), even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Click Catalyst and its officers, agents, and employees from any claims, damages, losses or expenses (including legal fees) arising out of (i) your breach of these Terms, (ii) your use of the deliverables or the Services, or (iii) your violation of any third-party rights.

10. Compliance with Laws

Click Catalyst and you each agree to comply with all applicable laws. In particular, in handling any personal data, we follow the Information Technology Act 2000 and the Digital Personal Data Protection Act, 2023 (DPDP Act). You warrant that you will not use our Services for any unlawful activity. You also agree to comply with TRAI UCC regulations if we send SMS on your behalf. (covers marketing SMS/WhatsApp)

11. Changes to Services or Terms

We may modify or discontinue any part of our Services (including pricing) at any time, with notice. We may update these Terms from time to time; the latest version will be posted on our website. Your continued use of the Services after changes will constitute acceptance of the new Terms.

12. Governing Law, Arbitration and Jurisdiction

These Terms are governed by the laws of India. You agree that any dispute arising under or in connection with these Terms or the Services shall first be addressed by good-faith negotiation. If unresolved, the dispute shall be finally settled by arbitration conducted in Gandhinagar, India in accordance with the Arbitration and Conciliation Act, 1996. If arbitration is not applicable or is unsuccessful, the courts in Gandhinagar (Gujarat) shall have exclusive jurisdiction.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, labour disputes, riots, war, pandemics, governmental action, internet-service outage, or third-party platform downtime (e.g., GitHub Pages). Obligations resume once the event ends.

14. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Assignment & Entire Agreement

You may not assign these Terms without our prior written consent. We may assign them to an affiliate or successor without notice. These Terms, together with the incorporated Privacy Policy and Refund Policy, constitute the entire agreement between the parties and supersede all prior discussions or agreements.

16. Survival

Sections on Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law & Arbitration, and any payment obligations survive termination of the Services.

Service Coverage

Our services are primarily designed for customers located in India. If we onboard customers located outside India, additional local-law provisions (such as UK/EU GDPR or US state laws) will be appended to these Terms as required by applicable regulations. These Terms incorporate and should be read with our Privacy Policy and Refund Policy.
